1. Acceptance of Terms

By accessing and using the HumanCloud platform (the "Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.

HumanCloud is a marketplace connecting clients with pre-vetted suppliers and top talent. Our platform facilitates these connections but does not directly employ talent or provide staffing services.

2. User Accounts

2.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account.

2.3 Account Types

• Clients: Organizations seeking to hire talent through our network of suppliers
• Suppliers: Staffing companies and agencies providing vetted talent
• Talent: Individual professionals seeking opportunities through our platform

3. Platform Use

3.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate HumanCloud, a HumanCloud employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

3.2 AI-Powered Matching

Our platform uses artificial intelligence to match clients with suppliers and talent. While we strive for accuracy, we do not guarantee that AI recommendations will meet all your specific requirements. Final hiring decisions remain your responsibility.

4. Financial Terms

4.1 Fees and Payments

HumanCloud charges fees for certain services. All fees are exclusive of taxes, which you are responsible for paying. Fees are non-refundable unless otherwise stated in writing.

4.2 Payment Terms

Payment terms are established at the time of service agreement. Late payments may incur additional fees and may result in suspension of services.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of HumanCloud and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of HumanCloud.

6. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose information about you.

By using the Service, you consent to the collection and use of information as set forth in our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by applicable law, HumanCloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

HumanCloud acts as a marketplace platform and is not responsible for the actions, quality of work, or conduct of clients, suppliers, or talent using the platform.

8. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any arbitration or claim will be limited to the dispute between you and HumanCloud individually. You will not bring a claim as a plaintiff or a class member in a class action or representative action.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
